Terms of Use

Draft — pending legal review. This is a working document that describes how Ysocial is built to operate. It has not yet been reviewed by legal counsel and is not the final, binding policy. Please don’t rely on it as legal advice.

These Terms of Use govern your access to and use of Ysocial, including our website, mobile applications, social features, creator features, paid Insider Access, credit system, Ysocial Solutions marketplace features, Reason Check, and any related services we provide.

By creating an account, accessing Ysocial, posting content, purchasing or using credits, unlocking Insider content, offering creator content, using Ysocial Solutions, or otherwise using the service, you agree to these Terms. Please also read our Privacy Policy and any additional terms shown to you when using specific features.

If you do not agree to these Terms, you may not use Ysocial.

1. Who can use Ysocial

You may use Ysocial only if you are old enough under the laws that apply to you and to Ysocial, and only if you are legally allowed to enter into these Terms.

You may not use Ysocial if:

  • you are under the minimum permitted age in your location;
  • your account was previously suspended or removed for serious or repeated violations;
  • you are barred from using the service under applicable law;
  • you are using Ysocial on behalf of another person or organization without authority.

We may require age confirmation, identity confirmation, parental or guardian consent, or other verification where required by law or where reasonably necessary to protect users or the platform. We may restrict certain features by age, location, account history, verification status, or safety risk. Parents and guardians are responsible for supervising minors who use Ysocial where permitted by law.

2. Your account

You are responsible for your account and for keeping your login credentials secure. You agree to provide accurate information when creating or updating your account. You may not:

  • create an account using false, misleading, or unauthorized information;
  • impersonate another person, business, creator, provider, public figure, or organization;
  • sell, transfer, lend, or share your account without our permission;
  • use another person’s account without permission;
  • attempt to bypass suspensions, feature limits, moderation actions, verification requirements, payment restrictions, or security controls.

You are responsible for activity that occurs through your account unless you notify us promptly of unauthorized access and we determine that the activity was not caused by your own conduct, negligence, or failure to secure your account. We may refuse, suspend, reclaim, or require changes to usernames, profile names, handles, images, or account details that violate these Terms, mislead users, infringe rights, or create safety or legal risk.

3. What Ysocial is

Ysocial is a social platform designed to support useful, civil, and accountable conversations. The service may include:

  • posting, following, feeds, profiles, comments, replies, topics, and discovery features;
  • Reason Check, which may review drafts, posts, claims, comments, replies, and other content before or after publication;
  • Insider Access, where creators may offer paid or credit-gated content, benefits, previews, Q&A, reports, or other member-only features;
  • Insider Credits and FairLead Credits, which are limited-use digital credits for eligible in-app features;
  • Ysocial Solutions, which helps users connect with local providers;
  • provider lead features, contact unlocks, quoting workflows, and service-request features;
  • rankings, recommendations, search, local discovery, category pages, topic pages, and other distribution surfaces;
  • reporting, blocking, appeals, and moderation tools.

Ysocial may change over time. We may add, remove, modify, limit, rename, price, or discontinue features at any time, subject to applicable law and any specific commitments made at checkout or in separate written terms.

4. Your content

You keep ownership of content you post, upload, submit, share, send, or otherwise make available through Ysocial, including posts, comments, replies, media, profile information, offers, service requests, provider responses, creator content, and other materials.

By using Ysocial, you grant Ysocial a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, display, publish, distribute, modify for formatting or technical purposes, translate, excerpt, promote, recommend, index, transmit, and otherwise use your content as reasonably necessary to operate, improve, protect, and provide the service. This license allows us to:

  • display your content to other users according to your settings and the product features you use;
  • make your content available in feeds, search results, recommendations, topic pages, category pages, local pages, notifications, previews, and permalink pages;
  • process your content through Reason Check, moderation systems, ranking systems, safety tools, fraud-detection tools, and reporting workflows;
  • resize, crop, reformat, transcode, or adapt content for technical display;
  • show previews, excerpts, snippets, thumbnails, or locked-content teasers where the product supports them;
  • preserve content where required for safety, legal, fraud, dispute, payment, or enforcement reasons.

You represent and warrant that you have all rights needed to share your content and grant this license. You are responsible for your content and for any harm caused by it.

Deleting content or your account may not immediately remove all copies of content from backups, caches, logs, reports, moderation records, legal holds, payment records, dispute records, other users’ views, shared content, or systems where retention is necessary for legitimate business, safety, legal, or technical reasons.

5. Content rules and Community Standards

Ysocial is built to stay civil, useful, and safe. You agree not to post, upload, share, send, promote, request, sell, offer, or facilitate content or conduct that violates these Terms or applicable law. You may not:

  • harass, threaten, intimidate, bully, shame, stalk, or target others for abuse;
  • post hate, dehumanizing content, or targeted attacks based on protected characteristics;
  • encourage, glorify, or threaten violence or self-harm;
  • post unlawful content or facilitate unlawful activity;
  • post child sexual abuse material, sexual exploitation of minors, grooming, sextortion, attempted exploitation, or content that sexualizes minors;
  • post non-consensual intimate content or threaten to share it;
  • impersonate others or misrepresent your identity, qualifications, credentials, location, business, affiliations, or authority;
  • spread deliberate misinformation, manipulated media, scams, fraud, or deceptive claims;
  • post spam, engagement manipulation, repetitive low-quality content, or undisclosed commercial manipulation;
  • scrape, crawl, harvest, copy, bulk-download, or extract data from Ysocial without permission;
  • attempt to bypass Reason Check, moderation, rate limits, payment rules, entitlement checks, privacy settings, or security controls;
  • misuse Ysocial Solutions, provider contact unlocks, Insider Credits, FairLead Credits, creator payouts, refunds, chargebacks, referral systems, or promotional credits;
  • interfere with, reverse engineer, probe, attack, overload, disrupt, or compromise Ysocial or its users;
  • upload malware, malicious code, spyware, trackers, credential-harvesting tools, or harmful files;
  • use Ysocial to build or train competing systems, surveillance tools, scraping tools, or unauthorized datasets.

Paid content, private content, Insider content, provider responses, service requests, and drafts are all subject to these Terms. Paying for a feature never buys a moderation bypass.

6. Reason Check and moderation

Reason Check is a Ysocial feature designed to support civil, useful, and accountable conversation. It may review drafts, posts, comments, replies, claims, links, offers, provider responses, and other activity before or after publication. Reason Check may ask you to:

  • reword hostile, abusive, inflammatory, or unclear content;
  • add a source for a high-impact claim;
  • clarify whether a statement is fact, opinion, personal experience, satire, or speculation;
  • reduce personal attacks or targeted hostility;
  • avoid posting content that violates these Terms;
  • revise content before it can be published;
  • accept that certain content will not be published, distributed, monetized, recommended, or unlocked.

Ysocial may use automated tools, human review, or a combination of both to review content, enforce these Terms, detect fraud or abuse, protect users, and operate Reason Check. Automated and human systems may be imperfect. We do not guarantee that Reason Check will identify every violation, prevent every harmful post, or correctly assess every claim or situation.

We may remove, limit, label, downrank, restrict, demonetize, pause, block, or refuse to distribute content where we believe it violates these Terms, creates legal or safety risk, misleads users, harms platform integrity, or undermines the purpose of the service. Where appropriate, users may appeal certain moderation decisions through the tools we provide. Appeals may not be available for every decision, especially where required by law, safety risk, fraud risk, payment risk, repeated abuse, or account-security concerns.

7. Reporting, blocking, and user safety

Users may report content, accounts, profiles, comments, creator offers, provider responses, service requests, or other activity that may violate these Terms. Where supported, users may also block other users or limit interactions. We may review reports and take action we consider appropriate, including:

  • removing content;
  • limiting visibility;
  • adding friction or warnings;
  • requiring edits;
  • restricting comments, replies, follows, or posting;
  • pausing creator unlocks or provider outreach;
  • suspending credits, payouts, or monetization features;
  • suspending or terminating accounts;
  • preserving or disclosing information where required or permitted by law.

Reporting content does not guarantee removal. Failing to remove reported content does not mean we endorse it. If we become aware of apparent child sexual abuse material, child exploitation, credible threats, imminent harm, or other serious illegal activity, we may preserve and disclose relevant information to law enforcement, child-safety organizations, regulators, payment processors, app stores, or other parties where required or permitted by law.

8. Privacy and data use

Your use of Ysocial is also governed by our Privacy Policy. To operate the service, we may collect, process, analyze, store, review, and use information related to your account, content, interactions, credits, purchases, payouts, service requests, provider responses, contact unlocks, device information, usage activity, reports, moderation history, and other information described in our Privacy Policy. This may include processing by automated systems and human reviewers for purposes such as account creation and authentication, Reason Check, content moderation, safety review, ranking and recommendations, fraud prevention, payment processing, provider verification, creator eligibility, credit balances and transaction records, contact unlocks, customer support, legal compliance, dispute resolution, and service improvement.

9. Credits, purchases, and payments

Ysocial may offer different types of limited-use platform credits, including FairLead Credits and Insider Credits. These credits are used for different purposes and are treated differently under these Terms.

FairLead Credits

FairLead Credits are used by businesses, providers, or other eligible users to access, unlock, respond to, or pursue leads and service opportunities through Ysocial Solutions. FairLead Credits have no monetary value. They are not money, not legal tender, not a deposit, not a stored-value account, not interest-bearing, and not redeemable or exchangeable for cash. They may only be used inside Ysocial for eligible lead-related features and may not be sold, transferred, assigned, withdrawn, exchanged, or converted into money.

Purchasing FairLead Credits does not guarantee that a lead will respond, that a quote will be accepted, that work will be awarded, or that any business outcome will occur. FairLead Credits are spent for the opportunity to access or respond to a lead, not for a guaranteed customer, sale, contract, or project. Unless required by law or expressly stated at checkout, FairLead Credit purchases are final and non-refundable once completed or used. Ysocial may refuse, reverse, suspend, or adjust FairLead Credit purchases, balances, or use where we believe there is fraud, abuse, chargeback risk, technical error, payment failure, lead misuse, bypassing of the credit system, violation of these Terms, or other platform risk.

Insider Credits

Insider Credits are used by supporters, followers, or other eligible users to unlock Insider Access, paid posts, creator content, subscriber-only benefits, premium updates, Q&A, reports, or other eligible Insider features. For users who purchase or spend Insider Credits, Insider Credits have no cash value. They are not money, not legal tender, not a deposit, not a stored-value account, not interest-bearing, and not redeemable by the user for cash. They may only be used inside Ysocial for eligible Insider features. Users may not sell, transfer, assign, withdraw, exchange, or convert Insider Credits into money unless Ysocial expressly allows a specific feature.

Creator / Insider earnings

When an eligible creator or Insider receives Insider Credits from supporters through approved Ysocial features, those received credits may represent creator earnings that can be converted into a cash payout, subject to these Terms, any Creator Terms, Stripe Connect requirements, identity verification, tax requirements, payout thresholds, platform fees, refund risk, chargebacks, reserves, holds, reversals, compliance review, and account standing.

A creator’s ability to receive a payout is not automatic. Ysocial may delay, hold, reduce, reverse, deny, or suspend payouts where we believe there is fraud, abuse, chargeback risk, refund risk, non-delivery, misleading offers, account compromise, legal risk, payment-processor requirements, violation of these Terms, or other platform risk. Ysocial may deduct or offset from creator earnings: Ysocial platform fees; payment-processing fees; refunds; chargebacks; taxes or required withholdings; negative balances; reserves; adjustments; penalties or costs caused by policy violations; and amounts required by law, payment processors, or court/regulatory orders.

Creators are responsible for all taxes, reporting, registrations, licenses, and legal obligations related to their earnings. Insider Credits may have different treatment depending on whether they are held by a supporter for use inside Ysocial or received by an eligible creator as creator earnings. Nothing in these Terms gives ordinary users a right to redeem purchased or unused Insider Credits for cash.

General credit rules

Credit purchases, prices, fees, taxes, renewal terms, and any applicable restrictions will be shown before purchase or use where required. Payments may be processed by Stripe or other third-party payment processors; by making a purchase, you may also be subject to the payment processor’s terms, policies, and privacy practices.

Ysocial may set limits on credit purchases, balances, use, expiration, promotions, refunds, transfers, payouts, and account eligibility. Ysocial may correct errors in credit balances, transactions, unlocks, lead access, creator earnings, payouts, pricing, or account records. Promotional, bonus, trial, refunded, reversed, or complimentary credits may be subject to different rules and may have no payout value unless expressly stated.

10. Insider Access and paid creator content

Ysocial may allow creators to offer Insider Access, paid posts, credit-gated content, paid previews, reports, Q&A, early access, subscriber-only discussions, premium updates, or other creator benefits. Creators are responsible for clearly describing their offer, including what supporters receive; the price or credit cost; whether access renews or is one-time; the publishing cadence, if any; any limitations, exclusions, or eligibility rules; whether benefits are digital-only; and whether content is educational, entertainment, commentary, or professional in nature.

Supporters are responsible for reviewing the creator’s offer before unlocking, purchasing, or subscribing. Ysocial does not guarantee that any creator content will meet your expectations, produce a particular result, remain available indefinitely, or be error-free. Creator content is provided by the creator, not by Ysocial, unless expressly stated otherwise. Paid Insider content remains subject to Reason Check, these content rules, and these Terms, and may be removed, restricted, demonetized, or made unavailable if it violates these Terms or creates legal, payment, safety, or platform risk.

Creators must deliver what their offer reasonably promises. Sustained non-delivery, misleading offers, abuse, fraud, or repeated supporter complaints may result in warnings, offer edits, paused unlocks, paused renewals, refunds or account credits, payout holds, removal from discovery, loss of creator eligibility, or account suspension or termination.

11. Creator payouts and Stripe Connect

Eligible creators may be able to earn credits or revenue through Ysocial and cash out eligible earnings through Stripe Connect or another approved payout provider. Creator payout eligibility may depend on identity verification, location, age, tax information, account standing, content compliance, fraud review, payment risk, minimum payout thresholds, payout-provider approval, and Ysocial review.

Creators are responsible for all taxes, filings, licenses, registrations, and reporting obligations related to their earnings. Ysocial may deduct platform fees, payment-processing fees, refunds, chargebacks, taxes, reserves, negative balances, adjustments, penalties, or other amounts from creator earnings where permitted by law and applicable terms. Ysocial may delay, hold, offset, reduce, reverse, or deny payouts where we believe there is fraud, abuse, chargeback risk, legal risk, non-delivery, policy violations, user disputes, suspicious activity, or payment-processor requirements. Creators must not use Insider Access to offer unlawful, deceptive, unsafe, infringing, regulated, or prohibited content or services.

12. Regulated and professional topics

Creators and users may discuss topics such as health, wellness, fitness, finance, investing, law, tax, mental health, business, construction, home services, relationships, education, parenting, or other high-impact topics. However, unless expressly stated and properly verified, content on Ysocial is for general informational, educational, commentary, or entertainment purposes only.

Ysocial content is not a substitute for professional advice. You should not rely on Ysocial content as medical, legal, financial, tax, investment, mental-health, safety, engineering, construction, or other professional advice. Creators or providers who discuss regulated or professional topics must accurately represent their qualifications; comply with licensing, advertising, disclosure, and professional rules that apply to them; display required disclaimers where applicable; avoid misleading guarantees; and avoid creating professional-client relationships unless properly authorized and clearly agreed outside Ysocial. Ysocial may require disclaimers, restrict certain topics, limit monetization, remove offers, or require verification where regulated-topic risk exists.

13. Ysocial Solutions and providers

Ysocial Solutions helps users find, compare, and contact local providers. Ysocial is not a party to any agreement, quote, job, service, project, warranty, payment, inspection, permit, delivery, installation, repair, or dispute between a user and a provider unless expressly stated in writing. Providers are independent from Ysocial. Ysocial does not guarantee provider availability, pricing, quality, licensing, insurance, qualifications, safety, work, compliance, project outcomes, quote accuracy, timelines, warranties, refunds, or dispute resolution.

Verification, badges, reviews, rankings, or profile information do not mean that Ysocial endorses, guarantees, supervises, or is responsible for a provider, unless we expressly say otherwise. Users are responsible for choosing providers, reviewing quotes, checking licenses, confirming insurance, verifying permits, reviewing contracts, and deciding whether to proceed. Providers are responsible for accurate profiles and claims; lawful advertising; required licenses, permits, registrations, insurance, safety practices, and taxes; complying with consumer-protection, construction, employment, privacy, and industry laws; honoring quotes, warranties, and commitments they make; and using customer information only for the specific request or relationship authorized by the customer.

Providers may spend FairLead Credits to contact or respond to potential customers through Ysocial. Customer contact details are shared only where the product allows it and where the customer chooses to unlock, reveal, approve, accept, or otherwise share those details. Providers may not misuse customer information, spam customers, scrape leads, resell contact details, bypass the FairLead Credit system, pressure users to move off-platform to avoid credits, or contact users outside the scope of the request. Ysocial may restrict, suspend, remove, or charge providers for misuse, spam, fraud, repeated complaints, poor conduct, bypass attempts, or violation of these Terms.

14. Reviews, ratings, recommendations, and rankings

Ysocial may provide reviews, ratings, recommendations, rankings, category pages, local pages, feed placement, search placement, badges, creator discovery, provider discovery, or other ranking and reputation features. These features may be based on factors such as relevance, location, activity, user interactions, content quality, reported issues, moderation history, account type, verification, availability, completeness, or other signals.

Rankings and recommendations are not guarantees of quality, accuracy, trustworthiness, safety, suitability, or outcome. Users and providers may not manipulate reviews, ratings, rankings, recommendations, unlocks, engagement, or reputation systems.

15. Third-party services

Ysocial may use or link to third-party services, including payment processors, identity-verification providers, hosting providers, analytics tools, moderation tools, map providers, app stores, authentication providers, and external websites. Ysocial is not responsible for third-party services, content, policies, outages, fees, decisions, or actions. Your use of third-party services may be governed by their own terms and privacy policies.

16. Intellectual property

Ysocial, including our name, logo, design, software, features, interfaces, text, graphics, systems, algorithms, workflows, Reason Check, rankings, databases, and other materials, is owned by Ysocial or its licensors and is protected by intellectual-property and other laws. You may not copy, modify, distribute, sell, lease, reverse engineer, scrape, extract, reproduce, or create derivative works from Ysocial except as permitted by law or with our written permission. You may use Ysocial only as permitted by these Terms and the features we make available to you.

17. Feedback

If you send us ideas, suggestions, feedback, bug reports, feature requests, business suggestions, or other comments about Ysocial, you grant us the right to use them without restriction or compensation to you. This does not transfer ownership of your personal content. It only allows us to use feedback to improve or develop Ysocial.

18. Enforcement

We may take action if we believe you violated these Terms, created risk, harmed users, harmed Ysocial, misused credits, misused creator or provider features, attempted fraud, created legal exposure, or otherwise acted in a way that undermines the platform. Actions may include warnings; content edits or removals; reduced distribution; Reason Check restrictions; posting limits; comment or messaging limits; account verification requirements; loss of access to paid features; paused creator unlocks; paused provider outreach; credit adjustments; refund or chargeback actions; payout holds; removal from rankings or recommendations; suspension; termination; legal action; and reporting to law enforcement, regulators, payment processors, app stores, or safety organizations where appropriate. We may act without prior notice where needed to protect users, Ysocial, payment systems, evidence, legal compliance, or platform integrity.

19. Account deletion and termination

You may stop using Ysocial at any time. Where supported, you may request account deletion through the app or by contacting us. Account deletion may not delete content already shared with others; content retained in backups; records needed for payments, tax, fraud, disputes, chargebacks, safety, legal compliance, or enforcement; provider/customer transaction records; creator payout records; moderation records; reports or evidence related to potential violations; or information we are required or permitted to retain by law.

We may suspend or terminate your account if you violate these Terms, create risk, or where required by law. Termination may result in loss of access to your account, content, followers, creator features, provider features, credits, paid access, and other platform features.

20. Disclaimers

Ysocial is provided “as is” and “as available.” To the fullest extent permitted by law, Ysocial disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, and uninterrupted operation. We do not guarantee that:

  • Ysocial will always be available, secure, error-free, or uninterrupted;
  • content on Ysocial is accurate, complete, lawful, safe, or reliable;
  • Reason Check or moderation will identify every issue or make perfect decisions;
  • rankings, recommendations, reviews, ratings, feeds, or search results will be accurate or complete;
  • creator content will meet your expectations;
  • providers will perform work properly or at all;
  • credits, features, prices, or offers will remain available indefinitely;
  • bugs, errors, or technical issues will be corrected by a specific time.

You use Ysocial at your own risk. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

21. Limitation of liability

To the fullest extent permitted by law, Ysocial, its owners, directors, officers, employees, contractors, affiliates, service providers, licensors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost goodwill, business interruption, reputational harm, lost opportunities, or the conduct of users, creators, providers, or third parties.

To the fullest extent permitted by law, Ysocial’s total liability for any claim arising from or relating to the service or these Terms will be limited to the greater of the amount you paid to Ysocial in the [3 / 6 / 12] months before the event giving rise to the claim, or CAD $[amount to be set by counsel]. This limitation applies to all claims, whether based in contract, tort, negligence, strict liability, statute, equity, or any other legal theory, even if Ysocial has been advised of the possibility of damages. Nothing in these Terms limits liability where it cannot legally be limited.

22. Indemnity

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Ysocial, its owners, directors, officers, employees, contractors, affiliates, service providers, licensors, and agents from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from or related to your use of Ysocial; your content; your violation of these Terms; your violation of law; your infringement or misappropriation of another person’s rights; your misuse of credits, payments, refunds, chargebacks, creator features, provider features, or contact unlocks; your services, quotes, work, warranties, or provider activity; your creator offers, paid content, advice, representations, or non-delivery; and your fraud, abuse, negligence, or misconduct. We may control the defense of any matter subject to indemnification. You agree to cooperate with us.

23. Changes to these Terms

We may update these Terms from time to time as Ysocial evolves or as legal, safety, payment, product, or operational requirements change. When we make material changes, we will take reasonable steps to notify users, such as updating the date above, posting a notice, sending an email, or showing an in-app notice. Your continued use of Ysocial after updated Terms take effect means you accept the updated Terms. If you do not agree, you must stop using Ysocial. Where required by law, we will obtain consent or provide additional notice.

24. Governing law and disputes

These Terms are governed by the laws of [Ontario, Canada] and the applicable federal laws of Canada, without regard to conflict-of-law rules. The courts located in [Toronto, Ontario] will have exclusive jurisdiction over disputes arising from or relating to these Terms or Ysocial, unless applicable law requires otherwise.

25. Miscellaneous

These Terms, together with the Privacy Policy and any additional terms that apply to specific features, form the agreement between you and Ysocial. If any part of these Terms is found unenforceable, the rest will remain in effect. Our failure to enforce any part of these Terms is not a waiver of our right to enforce it later. You may not assign or transfer your rights or obligations under these Terms without our permission. We may assign or transfer these Terms as part of a merger, acquisition, financing, reorganization, sale of assets, or by operation of law. Headings are for convenience only and do not affect interpretation.
